Welcome to Velaona. These Terms of Service (“Terms”) govern your access to and use of our website, online store, products, content, features, and related services.

Throughout these Terms, “Velaona,” “we,” “us,” and “our” refer to the Novapeak INC. “You” and “your” refer to any visitor, customer, or other user of our services.

Our online store is powered by Shopify, which provides the ecommerce platform that enables us to offer products and services to you.

By visiting our website, creating an account, placing an order, or otherwise using our services, you agree to these Terms and the policies incorporated into them. If you do not agree, you must not use our website or services.

1. Eligibility

However:

• Colors may appear differently depending on the screen or device;

• Packaging may be updated without materially changing the product;

• Measurements and quantities may be approximate where clearly indicated;

• Product availability may change without notice; and

• Minor differences may occur between website images and the delivered product.

Product descriptions, instructions, warnings, ingredients, and suitability information should be reviewed before purchase and use.

We may correct errors, inaccuracies, or omissions and update product information at any time.

7. Orders and Acceptance

An order confirmation acknowledges receipt of the order but does not necessarily mean that the order has been finally accepted.

We may verify payment, customer information, product availability, shipping eligibility, fraud risk, and other order details before acceptance.

An order is generally accepted when it enters fulfillment or is shipped, unless applicable law provides otherwise.

We may refuse or cancel an order where reasonably necessary, including when:

• A product is unavailable;

• Payment cannot be authorized;

• Customer or delivery information cannot be verified;

• The order appears fraudulent or unauthorized;

• A price or product-description error is obvious;

• The order violates purchase limits or promotional terms;

• Shipping to the destination is unavailable or restricted; or

• Accepting the order would violate applicable law.

If we cancel a paid order, we will refund the applicable amount to the original payment method.

8. Order Information

You are responsible for providing complete and accurate contact, billing, payment, and shipping information.

Please review the order details carefully before completing checkout.

If you identify an error, contact us immediately. We cannot guarantee that an address, product, quantity, specification, or other detail can be changed after processing or fulfillment has begun.

Additional costs caused by incorrect customer-supplied information may be the customer’s responsibility where permitted by law.

9. Payments

Available payment methods are displayed during checkout and may vary by country, currency, device, or order.

Payments may be processed by Shopify or third-party payment providers. Those providers may apply separate terms, privacy policies, authentication requirements, and security procedures.

You authorize the applicable payment provider to charge the full order amount, including disclosed shipping charges, taxes, and other applicable fees.

We may delay or cancel fulfillment if payment is declined, reversed, disputed, flagged for review, or not successfully completed.

10. Promotions and Discount Codes

Promotions, discount codes, gifts, bundles, and special offers may be subject to additional conditions.

Unless otherwise stated:

• Promotional offers cannot be exchanged for cash;

• Discount codes cannot be combined;

• Only one code may be used per eligible order;

• Discounts do not apply to previous purchases;

• Offers may be limited by product, customer, location, quantity, or time;

• Free gifts are available only while supplies last; and

• Fraudulent, duplicated, transferred, or unauthorized offers may be cancelled.

If an order is returned, the refund may be recalculated according to the promotion and the products retained.

We may modify or end a promotion, but changes will not unlawfully affect orders already accepted.

11. Shipping and Delivery

Shipping estimates are provided in our Shipping Policy and during checkout where available.

Delivery dates are estimates unless expressly stated as guaranteed. Delivery may be affected by carriers, customs, weather, public holidays, destination restrictions, incorrect customer information, or events beyond reasonable control.

Ownership and risk of loss transfer according to applicable law. Nothing in these Terms transfers risk to a consumer earlier than permitted by mandatory consumer-protection law.

Customers must not authorize delivery to an unsafe location unless they accept the risks reasonably associated with that instruction.

12. Returns, Refunds, and Cancellations

Returns, refunds, exchanges, damaged-product claims, and cancellation requests are governed by our:

• Shipping Policy.

These policies are incorporated into these Terms.

Opening, using, testing, contaminating, or removing a hygiene seal from certain personal-care or hygiene-sensitive products may affect change-of-mind return eligibility where permitted by law.

Nothing in our policies limits a mandatory right to cancel, return, repair, replacement, refund, or another remedy.

13. Customer Accounts

If customer accounts are available, you are responsible for:

• Maintaining accurate account information;

• Keeping login credentials confidential;

• Restricting unauthorized access to your device; and

• Promptly notifying us of suspected unauthorized activity.

You are responsible for activity performed through your account unless it results from circumstances for which applicable law makes us responsible.

We may suspend or close an account reasonably associated with fraud, abuse, security risks, policy violations, or unlawful activity.

You may be able to submit reviews, photographs, comments, testimonials, questions, or other content.

You retain ownership of content you submit. By submitting content for public or promotional use, you grant Velaona a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, adapt for formatting, translate, and distribute that content in connection with operating and promoting our business.

This license ends when the content is deleted, except where continued retention is reasonably necessary for legal records, completed marketing materials, platform backups, or dispute resolution.

You represent that your submission:

• Is truthful and based on genuine experience;

• Does not infringe another person’s rights;

• Does not contain unlawful, defamatory, deceptive, obscene, or malicious material;

• Does not disclose another person’s private information without permission;

• Does not contain malware or unauthorized advertising; and

• Complies with applicable law.

We may moderate or remove content that violates these requirements. We are not obligated to publish every submission.

15. Intellectual Property

The website and its content—including brand names, logos, product photographs, graphics, videos, text, designs, icons, software, and page layouts—are owned by or licensed to Velaona and protected by applicable intellectual-property laws.

You may view and use the website for personal shopping purposes.

You must not reproduce, modify, distribute, publish, sell, license, reverse engineer, create derivative works from, or commercially exploit protected content without prior written permission, except where permitted by law.

Third-party names, trademarks, and content remain the property of their respective owners.

17. Website Availability

We aim to keep the website available and accurate, but uninterrupted or error-free operation cannot be guaranteed.

We may temporarily restrict access for maintenance, security, technical updates, legal compliance, or circumstances beyond reasonable control.

We may modify or discontinue website features, products, or services. This will not remove rights relating to an order already accepted or another existing obligation.

18. Disclaimer of Warranties

To the fullest extent permitted by law, the website and general informational content are provided on an “as available” basis.

We do not guarantee that:

• Fraud or fraudulent misrepresentation;

• Willful misconduct or gross negligence where applicable;

• Defective products where liability cannot legally be excluded;

• Breach of mandatory consumer rights; or

• Any other liability that cannot legally be limited or excluded.

For losses arising from a particular order, our aggregate contractual liability will not exceed the amount paid for that order, except where a higher amount is required by law.

Some jurisdictions do not permit certain exclusions or limitations. In those jurisdictions, the relevant limitation applies only to the maximum extent permitted.

20. Indemnification

To the extent permitted by law, you agree to indemnify Velaona against third-party claims, losses, and reasonable costs resulting directly from:

• Your unlawful use of the website;

• Your material violation of these Terms;

• Your infringement of another party’s rights; or

• Fraudulent or intentionally harmful conduct.

This provision does not require a consumer to indemnify Velaona for Velaona’s own negligence, legal violations, or breach of contract.

We may investigate activity involving suspected fraud, payment abuse, false claims, product substitution, unauthorized reselling, promotional abuse, chargeback abuse, or deliberate damage.

Where reasonably necessary, we may:

• Restrict an account; or

• Provide relevant records to payment providers, carriers, regulators, or law-enforcement authorities.

If you are a consumer, this choice of law does not deprive you of mandatory protections available under the laws of your habitual place of residence.

Any dispute may be brought before a court having jurisdiction under applicable law. Nothing in these Terms requires a consumer to bring a claim exclusively in a location where such a requirement would be unenforceable.

25. Dispute Resolution

If a concern arises, please contact us first and provide your order number and a clear description of the issue. We will make reasonable efforts to investigate and resolve it.

Nothing in this section prevents either party from:

• Exercising a statutory consumer right;

• Reporting a matter to a regulator;

• Using an applicable payment-provider dispute process; or

• Seeking relief from a court or other authorized dispute-resolution body.

These Terms do not require mandatory arbitration unless a separate, legally valid arbitration agreement is presented and accepted.

We may update these Terms to reflect changes in our services, products, technology, operations, or legal obligations.

The revised Terms will be posted with an updated “Last updated” date.

Changes apply prospectively unless applicable law permits otherwise. Terms applicable when an order was accepted will normally continue to govern that order.

Where required, we will provide additional notice before a material change takes effect.

27. Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be enforced to the maximum lawful extent or removed where necessary.

The remaining provisions will continue in effect.

28. No Waiver

If we do not immediately enforce a provision of these Terms, that does not waive our right to enforce it later.

A waiver is effective only when expressly provided in writing by an authorized representative.

These Terms, together with the policies referenced in them and any additional terms displayed for a specific product, promotion, or service, form the agreement between you and Velaona concerning use of the website and relevant purchases.

If additional product or promotional terms conflict with these general Terms, the more specific terms apply to that product or promotion, subject to mandatory law.
